Terms and conditions

Last updated: 23 September 2026

This document governs the use of the Reel Up platform, available at reelup.ro and ugcvideo.ro and at any domain through which it is later operated (the "Platform"), provided by Crenzy Creativity S.R.L., which develops and operates it under the Zeff brand, with its registered office in Bucharest, Sector 2, Str. Grigore Ionescu no. 63, bl. T73, sc. 2, fl. 4, apt. 42, registered with the Trade Register under no. J40/10365/2020, VAT no. RO42954326 (the "Operator"). By creating an account, the user accepts these terms in full.

1. Definitions

"Brand" means the legal entity, or its representative, that orders content through the Platform, including agencies managing several brands.

"Creator" means the natural or legal person verified by the Operator who produces content commissioned by Brands through the Platform.

"Project" means the specific collaboration between a Brand and a Creator, defined by a project annex generated by the Platform, covering deliverables, deadline, price and license.

"Content" means the video, photo or audio material produced by the Creator within a Project.

2. Accounts and verification

Accounts are personal and non-transferable. The user is responsible for keeping login details confidential and for all actions taken from their account.

Creators are verified by the Operator before appearing in the catalog. The Operator may refuse or suspend an account without being required to state reasons, while honouring obligations already undertaken in ongoing Projects.

Brands that are legal entities provide accurate identification details. The Operator may make certain payment methods conditional on company verification.

3. How a Project works

The Brand posts a brief or invites a Creator. The Creator applies or accepts the invitation. The Platform generates the project annex, which both parties confirm electronically.

The Project starts once the Brand pays the displayed price or, for verified companies, once the invoice with payment terms is accepted. Amounts paid are held by the Operator until the delivery is approved.

The Creator delivers the Content through the Platform. The Brand has 5 business days to approve the delivery or request changes. Two rounds of changes are included. In the absence of a response within the deadline, the delivery is deemed approved.

After approval, the Operator releases the amount due to the Creator and makes the Content and license available to the Brand.

4. Prices, invoicing and payments

Prices displayed to the Brand are final, include the Platform's costs and exclude VAT, which is added on the invoice as required by law.

The Operator issues the invoice to the Brand. Creators that are legal entities or authorised sole traders invoice the Operator; Creators that are private individuals enter into a copyright assignment contract for each Project, with the applicable tax withholdings.

Payments to Creators are made automatically, in the Tuesday and Friday payout runs, for amounts released up to that point.

5. License and intellectual property

The Creator retains the copyright in the Content and warrants that it is original and does not infringe third-party rights.

By approving the delivery, the Brand obtains a perpetual, non-exclusive, worldwide digital license to use the Content on digital channels, organic and paid. Additional uses (exclusivity, television, print) are contracted separately by annex.

The Creator may include the Content in their Platform portfolio only with the Brand's consent, given in the Platform.

6. Communication and contracting through the Platform

Communication between Brand and Creator regarding Projects takes place through the Platform. Contracting and payment of Projects initiated through the Platform are carried out exclusively through the Platform, for the duration of its use and for 24 months after the last joint Project.

Breach of this obligation entitles the Operator to suspend the account and to claim damages under the agreement accepted at registration.

7. Cancellation, refunds and disputes

A Project may be cancelled free of charge until the price is paid. After payment, refunds, the Creator's compensation and warnings follow the rules in the Brand Terms and the Creator Agreement: a full refund before the product is shipped, a refund less courier costs after shipping, 30% compensation for the Creator if the Brand cancels after work has started, and no right for the Brand to cancel once any material has been delivered (the dispute procedure applies). Three warnings within 6 months lead to a temporary suspension of the account.

After delivery, disagreements are resolved through the Platform's dispute procedure. The Operator reviews the Project history and decides on full payment, partial payment or refund; the decision is binding on the parties in relation to the Platform, without limiting their right to bring the matter before the courts.

8. Prohibited content and conduct

Using the Platform for content that is unlawful, misleading, infringes third-party rights, or for political advertising or products whose promotion is prohibited by law, is forbidden.

The Operator may remove content that breaches these terms and suspend the accounts involved.

9. Liability

The Operator provides the contracting, payment and delivery infrastructure and is not a party to the creative relationship between Brand and Creator, except for projects run in managed mode, where it is responsible for selection and quality control as set out in the annex.

The Operator's liability towards a user is limited to the amounts received from that user in the last 12 months for the Project concerned, except where the law does not allow such a limitation.

10. Termination

Users may close their account at any time, subject to obligations in ongoing Projects. The Operator may discontinue the service with 30 days' notice, completing or refunding Projects in progress.

11. Governing law and disputes

This document is governed by Romanian law. Disputes that cannot be settled amicably fall under the jurisdiction of the courts of Bucharest.

The Operator may update these terms. The new version is communicated in the Platform and accepted at the next sign-in; ongoing Projects remain governed by the version accepted when their annex was confirmed.
